日下　毅（以下「ツール開発者」）は、以下の条項からなる「Questetra BPM Suite Batch Starter (Questetra BPM Suite add-on) Terms Of Service」（以下「本規約」）を定め、本規約に基づき、お客様に対して「Questetra BPM Suite Batch Starter (Questetra BPM Suite add-on)」（以下「本ツール」）を提供します。

1. 本規約の適用範囲

本規約は、本ツールについての利用者とツール開発者の間のすべての合意を構成し、文書によるか、口頭によるか、事前であるかおよび同時であるかを問わず、あらゆる交渉、議論および合意に取って代わるものです。

2. 保証の否認

本ツールは、欠陥も含めて「現状のまま」で提供されます。ツール開発者は、法令の範囲内においてあらゆる明示的および黙示的な保証を否認します。特定の目的のために本ツールを選択したこと、ならびに本ツールの品質および性能に関するリスクは、全て利用者が負います。

黙示の保証の免責または適用される消費者法令上の権利の制限を法的に認めない地域において、上記免責および制限はお客様に適用されない場合があります。

ツール開発者およびその指定する者は、利用者の本ツールの利用もしくは利用できないことに起因する、またはそれらから派生するすべての結果について、本ツールの不具合、故障その他原因が何であるかを問わず、また、その発生時期を問わず、利用者その他いかなる者に対しても、いかなる保証も行わず、責任を負いません。

3. 禁止事項

利用者は本ツールを利用して、以下の各号に定める行為をしてはいけません。

1.コンピュータウィルスその他不正プログラムを送信する行為を含む、著作権、財産権またはプライバシーの侵害など、第三者またはツール開発者に不利益を与える行為

2.法令に違反する行為

3.わいせつその他公序良俗に反する行為

4. 本ツールの一時停止

ツール開発者は、利用者に対し通知せずに、本ツールの全部または一部の提供を一時停止できるものとします。

本条により本ツールが一時停止した場合、ツール開発者は、利用者その他いかなる者に対しても、利用者が本ツールに保存していたデータの消失を含むいかなる損失、損害についても、いかなる責任も負担しないものとします。

5. 損害賠償

利用者が、本規約の違反により管理者に損害を与えた場合、利用者は、管理者が被った損害を賠償する責めを負うものとします。

利用者が本ツールの利用により第三者に対し損害を与えた場合、自己の責任でこれを解決し、ツール開発者を免責し、損害を与えないものとします。

ツール開発者は、本ツールの利用により生じる結果について、利用者その他いかなる者に対しても、本ツールの不具合・故障、第三者による本ツールへの侵入、商取引上の紛争、その他の原因を問わず、いかなる責任も負担しないものとします。

6. 言語

本規約は日本語と英語で作成されます。ただし、本規約の解釈では日本語が支配するものとします。

7. 紛争の解決

本規約の条項または規定に定めのない事項について紛議等が生じた場合、双方誠意をもって協議し、できる限り円満に解決するものとします。

本規約は日本国の法律を準拠法とします。本ツールに関して紛争が生じた場合には、京都地方裁判所を第一審の専属的合意管轄裁判所とします。

2020年7月6日制定

Tsuyoshi Kusaka (hereinafter referred to as the “Tool Developer”) hereby provides for this Questetra BPM Suite Batch Starter (Questetra BPM Suite add-on) Terms of Service (hereinafter referred to as the “TOS”) composed of the following provisions and provides you "Questetra BPM Suite Batch Starter (Questetra BPM Suite add-on)" (hereinafter referred to as the “This Tool”) .

1. Scope of Application of TOS

This TOS constitutes all the agreements between you and Tool Developer, and supersedes any and all negotiations, discussions and agreements whether in writing, oral, prior or contemporaneous.

2. Disclaimer of Warranty

THIS TOOL IS PROVIDED ON AN “AS IS” BASIS, WITH ALL FAULTS. TO THE EXTENT PERMITTED BY LAWS AND ORDINANCES, TOOL DEVELOPER EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESSLY OR IMPLIED. YOU TAKE ALL THE RISK OF CHOOSING THE SERVICE FOR ANY PARTICULAR PURPOSE, AND OF QUALITY AND PERFORMANCE OF THE SERVICE.

IN SOME JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION ON THE RIGHTS UNDER APPLICABLE CONSUMER LAWS, SOME OF THE EXCLUSIONS AND LIMITATIONS SET FORTH ABOVE MAY NOT APPLY TO YOU.

TOOL DEVELOPER AND ANY PERSON OR ENTITY DESIGNATED BY TOOL DEVELOPER SHALL NOT MAKE ANY WARRANTIES OR BE LIABLE TO YOU OR ANY OTHERS FOR ANY RESULT THAT IS ATTRIBUTABLE TO OR ARISING FROM YOUR USE OR INABILITY TO USE OF THE SERVICE, WHETHER DUE TO FAILURE OR MALFUNCTION OF THE SYSTEM OR ANY REASON WHATSOEVER AND WHENEVER ARISING.

3. Prohibited Conducts

You may not use the Service to engage in any of the following conducts:

1. conducts that cause any disadvantage against any third party or Tool Developer, including, but not limited to, infringement of copyrights, property rights or privacy including transmission of computer viruses or malicious programs;

2. conducts to violate laws and ordinances; and

3. conducts that are obscene or offensive to public order and morals.

4. Suspension of This Tool

Tool Developer may suspend whole or part of provision of This Tool without notice.

Even if This Tool is suspended in accordance with the provisions of this Article 4, Tool Developer shall not assume any liability to you or any others for any loss or damage including loss of data you have stored in the System.

5. Liability for Damages

If your breach of the TOS causes any damage to Tool Developer, you shall be liable for the damage suffered by Tool Developer.

If your use of the Service causes any damage to any third party, you must settle the case on your own responsibility and indemnify and hold harmless Tool Developer.

Tool Developer shall not be liable to you or any others for any result arising from the use of the Service, whether due to malfunction or defect of the System, invasion into the System by a third party, commercial disputes or for any reason whatsoever.

6. Language

This TOS shall be in both Japanese and English languages; provided that the Japanese version shall govern the interpretation of this TOS.

7. Settlement of Disputes

In case of any dispute regarding matters not set forth in any provision of the TOS, you and Tool Developer shall consult in good faith to settle the dispute as amicable as possible.

The Agreement shall be governed by the laws of Japan. You and Tool Developer agree that any dispute arising related to the Agreement or the Service shall be subject to the exclusive jurisdiction of the Kyoto District Court for the first instance.
